These Affiliate Terms (“Terms”) form a legally binding contract between you (“Affiliate”, “you”) and Curlit (“we”, “us”) governing your participation in the Curlit Affiliate Program (“Program”). By applying, being accepted, or placing tracking links, you agree to be bound by these Terms in addition to our main Website Terms of Use & Service and Privacy Policy. If you disagree, do not participate.

1. Eligibility & Enrollment

• You must be at least 18 years old and legally able to form contracts under Egyptian law.
• Submit honest, complete information in the application. We may approve or reject any application at our sole discretion; reasons may include inappropriate content, brand conflict, or suspected fraud.
• Affiliate accounts are individual. Creating multiple accounts to self-refer or stack commissions is strictly prohibited.

2. Affiliate Obligations

• Promote Curlit products in a truthful, ethical manner, complying with Egypt’s Consumer-Protection Law 181/2018, PDPL 151/2020, CAP advertising standards, and anti-spam regulations.
• No misleading claims (e.g., “cures hair loss”, “FDA-approved”). All statements must be substantiated.
• No paid-search bidding on “Curlit”, misspellings, or trademarked keywords.
• No domain names, social handles, or ads implying official endorsement (e.g., “CurlitOfficialStore.eg”).
• No coupon, discount, or cashback sites unless pre-approved in writing.
• No promotion on pornographic, violent, hateful, defamatory, or illegal content sites.
• You must disclose the affiliate relationship clearly (e.g., “I earn a commission from qualifying purchases”).
• You are an independent contractor; nothing creates employment, partnership, franchise, agency, or joint venture.

3. Commissions

• Net sales = order value minus VAT, shipping, refunds, and discounts.
• Cookie duration: 30 days last-click attribution.
• Commissions generate only on completed, non-refunded orders.

4. Payment Terms

• Payout currency: Egyptian Pounds (EGP) via bank transfer or mobile wallet.
• Minimum payout threshold: 1,000 EGP. Balances below roll over.
• Payment schedule: 30 days after month-end to allow for returns window.
• Affiliate is responsible for bank fees, currency conversion, and any tax filings. We provide a commission statement; you supply a valid tax ID upon request.

5. Tracking & Reporting

• Links must be generated through the Program dashboard. Self-altered parameters void tracking.
• We are the sole party responsible for tracking methodology; recorded data is final and binding.

6. Fraud, Returns & Charge-backs

• Fraud (self-purchases, credit-card abuse, coupon leaks) results in immediate termination and forfeiture of unpaid commissions.
• If an order linked to your ID is refunded or charged-back within 45 days, corresponding commission is reversed.
• We may audit traffic sources at any time; you must supply logs or screenshots within 5 business days.

7. Use of Curlit Assets

• Curlit grants a non-exclusive, revocable licence to use logos, banners, and creative assets provided in the dashboard unaltered except for size reduction.
• No AI-generated images using Curlit trademarks without written consent.

8. Data Protection & Confidentiality

• Any customer information you view or collect is subject to PDPL 151/2020. You must not store or reuse it beyond fulfilling tracking purposes.
• Program reports, commission data, and coupon codes are Curlit confidential information; do not share or publish without consent.

9. Term & Termination

• Term begins on acceptance and continues until terminated.
• Either party may terminate at any time for convenience with 7 days’ email notice.
• We may terminate immediately for breach (spam, trademark bidding, fraud). All unpaid commissions are forfeited in that case.
• Upon termination you must remove all Curlit links and assets within 48 hours.

10. Modification of Program

We may modify commission rates, cookie duration, or Program rules at any time by posting updates in the dashboard or emailing you. Changes take effect 7 days after notice. Continued participation equals acceptance.

11. Limitation of Liability

To the maximum extent permitted by law, Curlit is not liable for indirect, special, or consequential damages (lost profits, lost data). Our aggregate liability under these Terms shall not exceed the total commissions paid to you in the preceding three months.

12. Indemnification

You will indemnify and hold harmless Curlit, its directors, and employees from any third-party claims arising out of your breach of these Terms, misuse of Curlit assets, or violation of law.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute shall be submitted to the competent Egyptian courts of Cairo.

14. Severability & Waiver

If any provision is invalid, the remaining provisions remain in force. Failure to enforce any right is not a waiver.

15. Entire Agreement & Assignment

These Terms and any Program rules referenced herein constitute the entire agreement between the parties regarding the Program and supersede all prior discussions. Curlit may assign its rights; Affiliate may not assign without prior written consent.

16. Notices

Legal notices to Curlit must be sent by courier to 24 Nozha St., Ard El Golf, Cairo, Egypt, with an email copy to affiliates@curlit.shop. We will send notices to the email on your Program account.
